1. Agreement to Terms

By accessing or using ImpactMatrix Platform, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.

These Terms constitute a legally binding agreement between you (individually or on behalf of an organization) and ImpactMatrix Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use after changes take effect constitutes acceptance.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to use the Platform.

2.2 Authority to Bind

If creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2.3 Account Registration

To use the Platform, you must:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your password
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

3. Service Description and Tiers

3.1 Platform Purpose

ImpactMatrix provides sustainability assessment, planning, and tracking tools based on the ESGETC framework and the UN Sustainable Development Goals (SDGs).

3.2 Service Tiers

Community Tier (Free)

  • Basic sustainability assessment
  • SDG awareness and mapping
  • Community support

Premium Tier

  • Advanced assessments and AI recommendations
  • Full access to resources
  • Progress tracking and reporting
  • Multi-user collaboration (up to 10 users)
  • Priority support

Enterprise Tier

  • All Premium features plus consortium creation
  • Custom integrations and API access
  • Unlimited users
  • Dedicated account manager

4. Subscription, Payment, and Billing

4.1 Subscription Plans

Premium and Enterprise subscriptions are billed monthly or annually in U.S. Dollars (USD).

4.2 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You will be charged the current subscription rate.

4.3 Cancellation and Refunds

You may cancel anytime through your account settings. Upon cancellation:

  • You retain access to paid features until your billing period ends
  • Your account downgrades to Community tier after billing period ends
  • No refunds for partial billing periods
  • Annual subscriptions are non-refundable except as required by law

5. User Conduct and Prohibited Uses

You agree to use the Platform only for lawful purposes and will NOT:

  • Violate any applicable laws and regulations
  • Infringe upon intellectual property rights
  • Upload malicious code or harmful content
  • Attempt unauthorized access to the Platform
  • Use automated systems without written permission
  • Impersonate any person or entity
  • Harass, threaten, or harm other users
  • Use for competitive analysis
  • Share account credentials with unauthorized parties

6. Intellectual Property Rights

6.1 Platform Ownership

The Platform, including all content, features, and software, is owned by ImpactMatrix and protected by intellectual property laws.

6.2 Your Content

You retain ownership of data you upload. We are licensed to:

  • Store, process, and display your content
  • Use anonymized data for platform improvement (Community tier only)
  • Create backups for disaster recovery

7. Disclaimers and Limitations of Liability

IMPORTANT DISCLAIMER:

The Platform is provided "AS IS" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy of data.

7.2 No Professional Advice

The Platform provides tools for sustainability planning but does not constitute professional consulting, legal, financial, or compliance advice. Consult qualified professionals for specific guidance.

7.3 Results Not Guaranteed

We do not guarantee that using the Platform will result in improved sustainability performance, regulatory compliance, cost savings, or any other specific outcome.

8. Term and Termination

8.1 Term

These Terms remain in effect as long as you access or use the Platform.

8.2 Termination by You

You may terminate your account at any time by following the account closure process in your settings.

8.3 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, pose a security risk, or fail to pay.

9. Dispute Resolution and Governing Law

9.1 Informal Resolution

9.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement regarding the Service.

10.2 Severability

If any provision is found invalid, the remaining provisions continue in full force and effect.

10.3 Assignment

You may not assign or transfer your account without our written consent.
